CORPORATE,
COMMERCIAL & BUSINESS LAW. Representing small to large size business clients, the firm has substantial experience
in corporate and and business law. It regularly assists clients in forming new business entities, including general partnerships,
limited partnerships, business and family trusts, corporations and limited liability companies. The firm's staff has experience
in negotiating and drafting a variety of domestic and international contracts; debt and equity related financing and investment
transactions; corporate mergers, acquisitions and divestitures; and asset based purchase and sale transactions.

ENERGY LAW. The firm represents a number of producers, operators
and owners of oil, gas and other minerals, as well as alternative energy developers. We have broad domestic and international
experience in reviewing, drafting and negotiating a variety of oil & gas, mining and alternative energy related agreements,
including leases, farmouts, joint operating agreements, easements and rights of way, surface use agreements, seismic permits
and agreements, joint venture agreements, participation agreements, natural gas purchase and sale agreements, transportation
agreements and processing agreements. In addition, we prepare private placement memorandum, title curative documents, title
opinions and various corporate legal opinions for our energy related clients.

COMMERCIAL
REAL ESTATE. The firm handles all aspects of commercial real estate and development law, including complex commercial
financing and refinancing agreements, commercial development, land acquisition, leases, permitting. We also handle legal matters
involving construction, conveyancing, leasing, foreclosure, zoning, land use, title issues and environmental problems.

ESTATE PLANNING AND ADMINSTRATION. The firm's
attorneys regularly advise clients on estate planning and prepare wills, trusts, and other estate planning instruments.
Members of the firm also handle probate and other estate administration proceedings.

LITIGATION
& DISPUTE RESOLUTION. The firm regularly represents clients in a wide range of civil litigation and administrative
proceedings, as well as in various forms of alternative dispute resolution. We have substantial experience in contract interpretation
and enforcement, as well as debt collection.

GOVERNMENTAL
RELATIONS. The firm regularly assists clients before federal, state and local governmental authorities. We assist clients
in obtaining governmental contracts and resolving disputes with govenmental entities; obtaining WMBE and related registrations
and certifications; obtaining necessary governmental licenses, permits and variances; evaluating the potential impact of proposed
new laws, rules and regulations; and preparing contract and grant proposals.

SCHOOL LAW.
The firm represents open enrollment charter schools and provides advice on compliance with applicable federal and state laws
pertaining to the schools. The firm also represents clients in connection with administrative hearings before the
Texas Education Agency as well as related enforcement actions.
